NOTICE OF MEMBERSHIP ACTION BY WRITTEN BALLOT IN LIEU OF A SPECIAL MEMBERSHIP MEETING
To the Members of The Oregon Country Fair:
As the Secretary of The Oregon Country Fair (the “Fair”), I have received a petition signed by 100 or more members of the Fair requesting that a special meeting of the Fair’s members be called in order to vote on the removal of Jon Silvermoon as a member of the Fair’s Board of Directors. The petition was submitted in accordance with the Bylaws of the Fair and the Oregon Nonprofit Corporation Act (the “Act”).
Pursuant to the Act, any action that may be taken at a special meeting of the members of the Fair may be taken without a meeting if the Fair delivers a written ballot to every member entitled to vote on the matter. Accordingly, I am calling for action by written ballot, in lieu of a special meeting of the members, to vote on the removal of Jon Silvermoon as a Director of the Fair. Ballots must be mailed or delivered in person to the Fair office at 442 Lawrence Street, Eugene, OR 97401. Ballots will be due no later than 8:00 p.m. on Saturday, February 18, 2023.
The Fair will send all members entitled to vote a ballot providing them with an opportunity to vote for or against the removal of the director. The ballots will be sent to members on or about January 19, 2023.
Next, an informational meeting of the members of the Fair will be held on Saturday, January 21, 2023 at 7:00p.m. via Zoom. Members are asked to watch the meeting on YouTube.
If you have a question that you would like asked at the informational meeting, please send it to
removalquestions@oregoncountryfair.org. Questions should be about the removal action
itself, and not about the process we are using. We will collect questions until 11pm on
Thursday, January 19. They will then be forwarded to Brett and Rebecca for vetting and
sorting.
After the due date for the ballots, we will count the votes and announce the results. We hope you can attend the informational meeting and that you will return your ballots to vote on this matter.
